B&P Advises BASF SE on Acquisition of a Commercial Enterprise by way of Asset Purchase

Bezen & Partners has advised BASF SE, a German chemical company in the acquisition of significant components of the seed and herbicide businesses of Bayer AG, a German multinational pharmaceutical and life science company. The assets BASF SE has agreed to acquire in the transaction include Bayer AG’s global non-selective herbicide business, including the Liberty brand, as well as certain seed businesses for key row crops in select jurisdictions, including canola hybrids, oil-seed rape, soybeans, and cotton.

The relevant transaction has been carried out as part of the approval procedure of the European Union Competition Authority to the acquisition of US-based Monsanto, the world’s largest seed company, by Bayer AG. The European Union Competition Authority has approved the relevant acquisition on the condition that Bayer AG offers to sell some of its herbicide and seeds businesses. Accordingly, BASF SE agreed to acquire Bayer AG’s herbicide and seed businesses.
